1. Introduction and Acceptance of Terms

These Terms of Use (the “Terms” or "Agreement") govern your access to and use of the websites, applications, and services provided by Serefin Inc., a corporation incorporated under the laws of Ontario ("Serefin", "Company”, “we”, “us”, or “our”), including the MyCareSteps platform (collectively, the “Services”).

By accessing or using our Services, or by creating an account where applicable, you ("User" or "you") agree to be bound by these Terms and acknowledge that you have read, understood, and agree to be bound by all provisions herein. This Agreement constitutes a legally binding contract between you and Serefin. If you do not agree to these Terms, you must immediately cease accessing or using the Services.

These Terms apply to all users of our Services, including visitors to our websites and users of the MyCareSteps platform.

Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

For certain Services or features, you may be required to provide additional express consent or acceptance of these Terms through an electronic signature, click-through acceptance, or other mechanism that creates a clear record of your agreement.

2. Who We Are and Scope of Services

Serefin Inc. provides care coordination, navigation, and support services designed to help individuals access and navigate healthcare-related services (the “Services”). These Services may be offered under various programs and service models, including MyCareSteps.

The Services are delivered through a combination of human support (including care coordinators) and digital tools, and may include care coordination, triage and symptom navigation, provision of health-related information and guidance, and assistance in connecting users with third-party healthcare providers and services.

IMPORTANT: Serefin does not provide medical advice, diagnosis, or treatment. The Services are intended to support access to care and provide general information and coordination only.

Any clinical care, diagnosis, or treatment is provided by qualified healthcare professionals who are independent of Serefin.

Separate terms and agreements may apply to clinical or in-person healthcare services provided by Serefin or affiliated entities, and those services are not governed by these Terms.

The Services are not a substitute for professional medical advice, diagnosis, or treatment. You should always seek the advice of a qualified healthcare provider with any questions regarding your health.

3. No Medical Advice and Emergency Disclaimer

The Services do not provide medical advice, diagnosis, or treatment. Any information provided through the Services, including through care coordinators, is for general informational and coordination purposes only.

While the Services may include triage and symptom navigation support, such support is based on the information available and is intended to guide next steps, not to replace care provided by a qualified healthcare professional.

You should follow the guidance of qualified healthcare professionals and seek medical attention where appropriate based on your symptoms and circumstances.

The Services are not intended for use in medical emergencies. If you believe you are experiencing a medical emergency, you must immediately contact emergency services or go to the nearest emergency facility.

4. Eligibility and Accounts

To use certain aspects of the Services, you may be required to create an account.

You must be at least 18 years of age (the age of majority in Ontario) to create an account and use the Services. If you are under 18 years of age, you may only use the Services with the express consent and direct involvement of a parent or legal guardian who agrees to be bound by these Terms on your behalf and who will be responsible for your use of the Services. By permitting a minor to use the Services, the parent or guardian agrees to supervise such use and accepts full responsibility for any breach of these Terms by the minor.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate.

The Services may be used in connection with other individuals, including dependents or family members, only where you are legally authorized to act on their behalf and have obtained all necessary consents to share their personal information and personal health information with Serefin. You represent and warrant that you have such authority and consent, and you agree to indemnify Serefin for any claims arising from your lack of authority or consent. You are responsible for ensuring that any such use complies with these Terms and all applicable privacy laws.

You agree to use the Services only for lawful purposes and in accordance with these Terms.

6. Care Coordination Services

The Services are delivered through interactions with care coordinators and may include communication through digital tools, messaging, phone, video, or other channels.

In providing the Services, care coordinators may gather information from you regarding your health, symptoms, and circumstances in order to support care coordination, triage, and navigation.

The Services are based solely on the information you provide and the information available at the time of service delivery. You represent and warrant that all information you provide is true, accurate, current, and complete to the best of your knowledge. You are solely responsible for ensuring that the information you provide is accurate and complete. Serefin is entitled to rely on the accuracy and completeness of the information you provide and has no obligation to verify such information.

The accuracy and usefulness of the Services depend on the completeness and accuracy of the information you provide. Recommendations or guidance may change as additional information becomes available.

The Services may include assisting you in identifying and accessing third-party healthcare providers or services. Serefin does not control and is not responsible or liable for the quality, safety, legality, or appropriateness of the care or services provided by any thirdparty provider. Any referrals or connections to third-party providers are provided for convenience only and do not constitute an endorsement or recommendation. Your relationship with any third-party provider is solely between you and that provider, and Serefin disclaims all liability for any acts, omissions, or services of third-party providers.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, disclose, and protect your personal information.

By using the Services, you acknowledge that you have read and understood our Privacy Policy.

8. Intellectual Property

All content, features, and functionality of the Services, including text, graphics, logos, software, and other materials, are owned by Serefin or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, Serefin grants you a limited, non-exclusive, non-transferable right to access and use the Services for your personal, non-commercial use.

You may not copy, reproduce, modify, distribute, or otherwise use any part of the Services except as expressly permitted by these Terms or with our prior written consent.

9. Third-Party Services

The Services may include links to or assistance in accessing third-party healthcare providers, services, or resources.

Serefin does not control and is not responsible or liable for the availability, content, quality, accuracy, or services of any third-party providers or websites. We do not endorse, recommend, or guarantee the services, credentials, or qualifications of any third-party providers. You acknowledge that Serefin has not independently verified the credentials, qualifications, or quality of any third-party providers and that you are solely responsible for evaluating and selecting third-party providers.

Any interactions or services you receive from third-party providers are solely between you and those providers.

10. Disclaimers

The Services are provided on an “as is” and “as available” basis.

Serefin does not guarantee that the Services will be uninterrupted, error-free, or available at all times, or that any information provided through the Services will be accurate, complete, or current.

While we take reasonable steps to provide reliable and helpful Services, the nature of care coordination and health-related information means that outcomes may vary depending on individual circumstances and the information available at the time.

Your use of the Services is at your own risk.

To the extent permitted by applicable law, Serefin disclaims all representations, warranties, and conditions, whether express or implied, including any implied warranties that the Services will meet your expectations, be suitable for your particular needs, or achieve any specific outcome.

11. Limitation of Liability

To the extent permitted by applicable law, Serefin and its directors, officers, employees, and service providers will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of opportunity, or other intangible losses, arising out of or in connection with your use of the Services.

To the extent permitted by applicable law, Serefin’s total liability for any claims arising out of or relating to the Services will be limited to the amount, if any, that you have paid to Serefin for the Services in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

You agree to indemnify and hold harmless Serefin and its directors, officers, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

You may stop using the Services at any time. Where available, you may also request to deactivate or delete your account.

Serefin may suspend or terminate your access to the Services at any time if you violate these Terms or if necessary to protect the integrity, security, or operation of the Services.

Termination or suspension of your access will not affect any rights or obligations that have accrued prior to termination.

Subject to applicable laws and our Privacy Policy, we may retain certain information following termination as required for legal, regulatory, or operational purposes.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any disputes arising out of or relating to these Terms or your use of the Services will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

15. Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services, legal requirements, or other factors.

When we make changes, we will update the “Last updated” date at the top of these Terms. Where required by applicable law, we will provide additional notice.

Your continued use of the Services after any updates indicates your acceptance of the revised Terms.
